Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Scalpr platform. By creating an account or purchasing a membership, you agree to be bound by these Terms.

1. The Service

Scalpr is a subscription membership service that gives members access to last-minute unsold seats at participating New York City venues. Scalpr is not a ticket reseller and does not buy, sell, or resell tickets. Your membership fee is paid for access to the Scalpr platform and its membership benefits as a whole, not for any individual ticket, seat, or event. Scalpr does not charge members any separate per-ticket price, markup, or service fee at the time a seat is claimed. Venue partners make their own remaining inventory available at their discretion; access is subject to availability and is not guaranteed for any specific event.

2. Membership and Automatic Renewal

Scalpr memberships automatically renew each month until you cancel. By subscribing, you authorize Scalpr to charge your payment method on file at the start of each billing cycle at the then-current rate. Current pricing:

Prices are in USD. Scalpr reserves the right to change pricing with 30 days written notice to active subscribers. Price changes take effect at your next billing cycle following the notice period.

If you subscribed with a free trial, your payment method will be charged automatically at the end of the trial period unless you cancel before the trial ends. You will receive a reminder email 3 days before your trial expires.

3. Credits

Credits are a limited, revocable license to access participating events as part of your Scalpr membership during your billing cycle. Credits are not money, currency, or stored value, are not a gift card or gift certificate, have no cash value, and cannot be redeemed or exchanged for cash. Credits are non-transferable and may not be sold or shared. Credits are issued at the start of each billing cycle upon successful payment. Unused credits roll over from billing cycle to billing cycle while your membership remains active, and expire when your membership ends or is cancelled (at the end of your final billing period). We email you each time your credits renew. The number of credits required to claim a seat varies by event and venue type.

4. How to Cancel

You may cancel your membership at any time by going to Account Settings in the Scalpr app or at scalprclub.com and selecting "Cancel membership." You may also cancel by emailing hello@scalprclub.com and we will process your request within one business day.

Cancellation is effective immediately upon your request and takes effect at the end of your current billing period. You keep full access and all remaining credits until then, and you will not be charged again after cancellation. You may also downgrade to a lower tier at any time, downgrades take effect at the start of your next billing cycle.

5. Refunds

Monthly membership fees are non-refundable for partial billing periods, except as required by applicable law. Claimed event seats are non-refundable once confirmed, except in cases of venue cancellation (see Section 6). If you believe you were charged in error, contact us within 30 days at hello@scalprclub.com.

6. Venue Cancellations

If a participating venue cancels or materially changes an event after a member has claimed a seat, credits used for that claim will be returned to the member's account within 24 hours. Scalpr is not responsible for event changes, cancellations, or the quality of experience at venue partners.

7. Member Conduct

Members agree to use the platform in good faith. You may not share, sell, or transfer your membership or credits. Scalpr reserves the right to suspend or terminate accounts that abuse the credit system, engage in fraudulent activity, or otherwise violate these Terms.

8. User-Generated Content

By uploading photos, videos, ratings, or other content to Scalpr, you grant Scalpr a non-exclusive, royalty-free, worldwide license to display that content on the platform and in promotional materials. You retain ownership of your content. You represent that you have the right to share any content you upload and that it does not violate any third-party rights.

9. Limitation of Liability

To the fullest extent permitted by law, Scalpr is not liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including missed events, venue closures, or service interruptions. Our total aggregate liability to you for any claim is limited to the total amount you paid to Scalpr in the 30 days immediately preceding the claim.

10. Dispute Resolution, Arbitration & Class Action Waiver

Please read this section carefully. It affects your legal rights and requires most disputes to be resolved by individual arbitration rather than in court.

Governing law. These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules.

Binding arbitration. Except for (a) claims that qualify for small-claims court and (b) claims for injunctive or equitable relief, any dispute arising out of or relating to these Terms or the Scalpr service will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in New York County, New York.

Class action waiver. You and Scalpr agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate or join the claims of more than one person.

30-day opt-out. You may opt out of this arbitration and class-action-waiver agreement within 30 days of first accepting these Terms by emailing hello@scalprclub.com with your name and account email. Opting out will not affect any other part of these Terms. If the class action waiver is found unenforceable as to a particular claim, that claim will proceed in the courts of New York County, New York, and you consent to personal jurisdiction there.

11. Changes to Terms

Scalpr may update these Terms from time to time. We will notify members of material changes via email at least 14 days before changes take effect. Continued use of the platform after the effective date of changes constitutes acceptance of the updated Terms.

12. Deleting Your Account

You can permanently delete your Scalpr account at any time. In the Scalpr app or at scalprclub.com, go to Account Settings and select "Delete account," or email hello@scalprclub.com from your account email and we will delete it within 30 days (typically within one business day).

Deleting your account cancels any active membership, ends future billing, and permanently removes your profile, ratings, photos, videos, and other content you posted. Some records may be retained where required for legal, tax, accounting, fraud-prevention, or dispute-resolution purposes, and then deleted. Deletion is permanent and cannot be undone; remaining credits are forfeited on deletion.

13. Content Standards and Reporting

Scalpr includes member-generated content such as ratings, photos, and videos. You agree not to post content that is unlawful, hateful, harassing, threatening, defamatory, sexually explicit, or that infringes anyone's rights or violates any law. There is zero tolerance for objectionable content or abusive behavior.

You can report content or another member from within the app using the Report option on any post or profile, or by emailing hello@scalprclub.com. You can also block another member to stop seeing their content and prevent them from interacting with you. Scalpr reviews every report and will remove violating content and suspend or permanently ban offending accounts, typically within 24 hours of a report. Scalpr may remove any content or terminate any account at its discretion to keep the community safe.

14. Payments and How Funds Are Handled

All payments on the Scalpr platform are processed by our third-party payment processor (Stripe). Scalpr does not store your full card number and does not hold member funds on deposit.

Membership fees are payments to Scalpr for access to the platform and membership benefits, and are Scalpr's own revenue.

Payments relating to venue partner events. Where any payment is collected through the platform in connection with an event offered by a venue partner, Scalpr (or its payment processor) collects that payment solely as the limited, authorized payments agent of the applicable venue partner. Your payment obligation to the venue is satisfied and extinguished at the moment your payment is received by Scalpr or its payment processor, regardless of when or whether the venue receives settlement from Scalpr. Amounts owed to venue partners are settled pursuant to Scalpr's agreement with each venue.

Scalpr is not a bank, money transmitter, escrow agent, or money services business, and does not offer stored-value accounts. Credits are a membership feature as described in Section 3 and are not funds.
